Gide has assisted the banking syndicate made up of Goldman Sachs, Citigroup, JMP Securities, H.C. Wainwright & Co. and Kempen & Co on the USD 153.7 million capital increase of DBV Technologies through the offer of common shares in the United States (American Depositary Shares, or ADS) and a private placement in Europe of common shares.
The common shares are listed for trading on the Euronext Paris and the ADSs are listed for trading on the Nasdaq Global Select Market. This fundraising is part of financing the preparation for the commercialisation of Viaskin®Peanut, including marketing efforts for its launch during the second half of 2020, and the development of its other product candidates.
Gide acted for the bank syndicate with a team headed by partner Arnaud Duhamel, working with counsel Guilhem Richard and associates Aude-Laurène Dourdain and Mariléna Gryparis.
McDermott Will & Emery acted for DBV Technologies, as well as DBA Associés.
Firms Goodwin and Cooley, respectively advising the banks and the issuer, also acted on aspects of US law.
