Gide advises the Castel Group on the acquisition of Diageo’s stake in Ghana
Gide advised the Castel Group, a key player in the beer and soft drinks sector in Africa, on the acquisition of the 80.4% stake held by Diageo in its listed subsidiary Guinness Ghana Breweries, for a total amount of 81 million US dollars.
Diageo remains the owner of the Guinness brand and other alcoholic beverages produced at the two sites covered by the signed agreement (Malta, Orijin, Smirnoff Ice, Alvaro, etc.). These products will continue to be manufactured under a long-term licensing and royalty agreement. This transaction allows the Castel Group to strengthen its position on the African continent.
Gide handled the notification of the transaction to the ARCC. The transaction was notified on February 25 and approved as of April 17, 2025, without any commitments. The ARCC concluded that the operation was not likely to harm competition and/or affect consumer welfare in the relevant product and geographic markets.
