Gide advises KKR on the acquisition of Pont-sur-Sambre Power and Toul Power

Law firms Ashurst and Gide advised the credit business of Kohlberg Kravis Roberts & Co L.P. (“KKR”) on the acquisition of the entire stock capital and voting rights of the companies Pont-sur-Sambre Power and Toul Power from Verbund AG.
 
The finalisation of the transaction is subject to the procurement of the necessary administrative authorisations.
 
Pont-sur-Sambre Power and Toul Power are primarily involved in the production of electricity by means of combined cycle power plants using the CCGT variety (combined cycle gas turbine).
 
The transaction was led by the Ashurst office, with partner Bertrand Delaunay and associate Séverine Gallet from the corporate department. The team was also comprised of partners Jean-Pierre Farges and Pierre-Emmanuel Fender, and associate Naouël Noury on aspects relating to the prevention of business difficulties; partner Philippe None and associate Danièle Darmon on the real estate aspects; partner Michel Lequien and associate Jacques Dabreteau on the energy and infrastructure aspects; and associates Caroline Mougin and Aurélie Moine on the employment aspects.
 
Gide acted on behalf of KKR with regards to the tax issues of the acquisition. Their team was composed of partner Christian Nouel and associates Alexandre Bochu and Nelson Da Riba in the Tax practice group; and partner Frédéric Nouel and senior counsel Philippe Dupichot in the Real Estate Transactions & Financing practice group.
 
KKR was also advised by KPMG (Mathieu Wallich-Petit and Bertrand Chaboussou) and Haya Energy Solutions (Antonio Haya).
