Gide advises KGHM Polska Miedź S.A. on a bond issue worth PLN 1.6 billion
Gide’s Warsaw office advised KGHM Polska Miedź S.A., as the issuer, on issuing seven-year Series D bonds at a record low margin of 100 bps above the reference rate. Along with the issue, KGHM announced the exercise of a call option on series B bonds. Some of the series B bonds will be rolled over into a series D issue, which will be introduced to the Warsaw Stock Exchange’s alternative trading system Catalyst. The dealers in the programme are PKO BP, PEKAO and Santander Bank Polska.
The Gide team, led by Dawid Van Kędzierski, PhD, counsel, and supervised by Dariusz Tokarczuk, partner, comprising Dominik Figura, associate, and Jan Bąk, associate, provided comprehensive support to KGHM in connection with
the exercise of call options, as well as the issue of a new series of bonds, including the development of a settlement model for bondholders rolling over their investments through the National Depository for Securities (KDPW) and the issue agent.
