Gide has advised AIPCF VI LG Funding, LP, an affiliate of American Industrial Partners ("AIP") in connection with the sale of 1,500,000 shares of Lectra S.A., a French company listed on Euronext Paris, representing 4.0% of Lectra’s share capital, for a total amount of EUR 45 million.
The transaction consisted of a private placement to certain institutional investors, including a private placement in the United States only to qualified institutional buyers, by way of an accelerated book-built offering.
Société Générale acted as Sole Global Coordinator and Bookrunner.
The Gide team included partner Arnaud Duhamel and Mélanie Simon-Giblin for the capital markets aspects, partner Melinda Arsouze and of counsel Scott Logan for the U.S. securities law aspects related to the transaction and partner Antoine Tézenas du Montcel, Elise Bernard and Anaïs Roudel for the M&A aspects.
