Gide Warsaw advised Farmaceutici Procemsa S.p.A., a portfolio company of Investindustrial, in its acquisition of a majority stake in Master Pharm S.A., a leading contract development and manufacturing company in Poland.
The team at Gide Warsaw – Paweł Grześkowiak (advocate, partner), Wojciech Czyżewski (advocate, senior associate) and Magdalena Zawiślak (trainee attorney-at-law, associate) – conducted a due diligence investigation, prepared the transaction documentation and supported the client during negotiations.
This acquisition is an important milestone for Procemsa as part of its consolidation strategy of the European CDMO (contract development and manufacturing organisation) market and reinforces its European presence by enhancing its geographic and customer diversification in the fast-growing Eastern European market.
The transaction closing is subject to customary conditions and is expected to take place later in 2023. Gide is advising the purchaser on the antimonopoly proceedings.
