Gide, counsel to BOAD Titrisation in the first multi-jurisdictional securitisation programme supporting SME financing in West Africa

Gide has advised BOAD Titrisation, in its capacity as management company and arranger, in connection with the structuring and launch of a new securitisation programme aiming to enhance access to finance for SMEs across Benin, Togo and Senegal.

The transaction involved the issuance of senior, mezzanine and junior notes backed by a portfolio of loans originated by NSIA Banque Bénin and its branches in Togo and Senegal, for a total nominal amount of FCFA 52 billion (equivalent to $92.4 million).

This is a landmark transaction in the West African Economic and Monetary Union (WAEMU) implementing a cross-border securitisation framework focused on SME support, gender inclusion, and climate finance.

The Gide team advising BOAD Titrisation was composed of counsel Jérémie Bismuth, and associates Alessia Longo and Imane Bellafqih, while local legal support was provided by Monnat & Associés (Togo), Hélène Paty Law Firm (Benin), and Houda Law Firm (Senegal).
