Gide advises the RCF lenders in connection with the financial restructuring of the Seqens group

Gide advised the RCF lenders in connection with the agreement in principle on the financial restructuring of the Seqens group.

Announced on August 5, 2026, this agreement in principle, reached with all of the group’s financial partners, provides for a comprehensive lender-led financial restructuring intended to reduce Seqens’ debt by around EUR 1.1 billion. Upon completion, the main lenders will acquire an equity stake in the group, with Bpifrance remaining a reference minority shareholder. Finalisation is expected by the end of 2026, subject to the required approvals.

Controlled since the end of 2021 by SK Capital, Seqens (formerly Novacap) is a developer and producer of active pharmaceutical ingredients and specialty ingredients serving the pharmaceutical industry.

The Gide team was composed of partner Pauline Bournoville and associates François Polverelli and Tom Louis, on Restructuring aspects.

The RCF lenders were also advised by Simpson Thacher & Bartlett.
