Gide advises Egis Partenaires on Tikehau Capital’s €1+ billion fundraising for Egis group

Gide has advised Egis Partenaires, a shareholder in the Egis group, a key player in architecture, consultancy, engineering, construction and mobility services, on Tikehau Capital’s fundraising of over €1 billion.

Tikehau Capital initially acquired a controlling stake in Egis from the French state-owned financial institution Caisse des Dépôts et Consignations (CDC) in January 2022, with the aim of supporting Egis’s international expansion and acquisition strategy. The fundraising, carried out through a continuation fund managed by Tikehau Capital, supported in particular by Adia, Apollo S3 and Neuberger Berman, is expected to enable Egis to double in size by 2028 and strengthen its position as a global leader in the decarbonisation of transport, cities and energy.

Egis Partenaires brings together more than 900 individual investors, including senior executives and employees of the Egis group. Its stake in Egis represents approximately 21% of the company’s share capital.

The Gide team involved in the transaction included partner Jean-François Louit, counsel Julien Negroni, and associate Oumnia Benkirane on the corporate aspects; and partner Paul de France and associate Charles Ghuysen on the tax aspects.
