Gide advises Accor in connection with the execution of a memorandum of understanding on the sale of its stake in Essendi

Gide advises Accor, a world-leading hospitality group, on its contemplated sale of its 30.56% stake in Essendi (formerly AccorInvest) to a consortium comprised of Blackstone and Colony IM.

The disposal of Accor’s entire stake to a consortium comprised of Blackstone and Colony IM would be implemented for a consideration of up to €975 million, including €675 million to be received upon closing of the transaction and an earn-out of up to 300 million euros.

The transaction would close in the third quarter of 2026, subject to the finalization of the shareholders’ agreement between Blackstone and the other Essendi shareholders and to the usual regulatory and antitrust approvals.

The Gide team includes:

  • Marcus Billam, Alexandre Durand, partners, and Pierre Zejma, counsel, Grégoire Fournier La Touraille and Simon Peguin, associates on corporate/M&A aspects;
  • Franck Audran, partner, Delphine de la Ville Montbazon and Julia Malaussene, associates, on merger control aspects; and
  • Pierre-Antoine Degrolard, partner, and Jonathan Navarro, associate, on foreign investment control aspects.
