Banking & Credit - Structured Finance

Gide has wide-ranging experience in structuring, negotiating and restructuring all forms of financing or refinancing transactions across the world. It frequently acts for arrangers, banks, Mezzanine funds and borrowers, be they French or foreign.

Our Banking & Credit team, present throughout the world, acts on all types of financing: corporate financing, acquisition financing (listed or non-listed companies, LBO, MBO, MBI and other leveraged acquisition operations, whether for senior lenders, Mezzanine lenders or borrowers), syndicated loans, asset financing (buildings, vehicles, ships, aircraft, equipment, stocks, raw materials and any other type of asset), export credits, financing of projects and leasing operations, and offers bespoke solutions to its clients. Our Banking & Credit team is highly active in terms of debt restructuring/renegotiation, acquisition or sale of receivables portfolios and Islamic financial practices.

  • Advising two banking syndicates comprising 24 banks for the refinancing of APRR (Autoroutes Paris-Rhin-Rhône)-Eiffarie’s debt, amounting to EUR 3.5 billion.
     
  • Advising arrangers on the only mortgage bond issues conducted in France.
     
  • Advising arrangers on the refinancing of the Groupe du Louvre’s budget hotels portfolio.
     
  • Advising the arranger on financing the construction and exploitation of the Ashegoda windfarm in Ethiopia.
     
  • Blaise-Diagne international airport (Dakar) / Project financing (BOT): advising on financing the construction of a new airport in Dakar, Senegal.
Gide Loyrette Nouel A.A.R.P.I. counts one of France's most renowned structured finance experts among its ranks. De Kergommeaux is particularly active regarding public-sector loan company mandates and building society-related work. Arnaud Duhamel and Laurent Vincent co-lead the derivatives practice, which has a strong focus on equity derivatives and financing. Overall, the group shoulders an impressive caseload -often including innovative transactions- and is consistently visible among those legal practices shaping the regulatory framework in France - regarding covered bonds, for example. In addition to its strong presence in France, the firm also offers derivatives and structured finance expertise from its London office where Dimitrios Logizidis and Karine Imbrosciano frequently cooperate with their French colleagues to assist with cross-border matters, often pan-European in nature. Counsel Clément Vandevooghel, a former legal counsel at Natixis, specialises in structured finance. Under the name of Gide 255, the firm's innovation team, the practice has assisted several clients in connection with collateral tokens and on applications of these tokens to derivatives structures.
