Gide advises AXA Group on the sale of its stake in Axa Crédit to Fidis S.p.A, a subsidiary of Stellantis Group

Gide’s Casablanca office assisted Axa Assurance Maroc and Axa Holding in connection with the sale of 80% of the share capital of the Moroccan company Axa Crédit to Fidis S.p.A, a Stellantis Group company. Following completion of this transaction, Axa Assurance Maroc will retain a stake of approximately 20% in the share capital of Axa Crédit.

This transaction also entails a strategic partnership between Axa Assurance Maroc and Fidis S.p.A for the distribution of AXA insurance products through Axa Crédit’s network.

Through this acquisition, Stellantis Group strengthens its presence in Morocco by acquiring a financing entity, with the objective of offering its clients an integrated solution combining vehicle purchase, financing, and related insurance products.

Gide advised AXA on all legal aspects of the transaction: legal structuring, drafting and negotiation of contractual documentation, management of the transaction’s conditions precedent (including competition clearance and authorization from the Moroccan Central Bank), and the closing.

Fidis was advised throughout the transaction by Latournerie Wolfrom Avocats, with a team mainly composed of partner Godefroy Le Mintier and associate Sarah Bahaji.

Financial advisors involved in the transaction were Sterling Capital (represented by Badr Alioua) on AXA’s side, and BV Capital Africa (represented by Yann Assor) on Fidis’ side.
