Gide Loyrette Nouel’s Financial Services Regulation practice offers expertise in advising a wide range of UK and international financial institutions on UK and European financial services regulation. Firms need to do business within an increasingly complex and extensive regulatory framework. We offer significant experience and practical advice to firms seeking to understand and comply with their obligations.

Through experience as in-house legal counsel and at the Financial Services Authority as well as in private practice, team members have a real understanding of how the regulatory environment affects financial institutions’ day-to-day business operations. We can provide practical solutions and first class insight to ensure our advice is tailored to the requirements of each client. We have extensive experience of advising clients, ranging from start-ups to numerous leading international firms, including investment advisers, distributors, stockbrokers, wealth and fund managers as well as numerous types of funds.

As the London office of an international French law firm, we are part of a global network of 19 offices across Europe, Asia, North America and Africa. We work closely with our colleagues in Paris and Brussels to provide an understanding of the European aspects of the sector and we are well-placed to advise on cross-border issues.

In particular, we offer significant experience in the following regulatory services:

Authorisation and licensing - representing firms seeking FSA authorisation and advising on all regulatory applications and notifications, including changes in permissions, legal status, controllers and close links.

Perimeter issues - advising on whether firms and individuals need to be authorised to conduct their businesses, including advising on appointed representatives, and what permissions they need to have.

Conduct of business - advising firms on all aspects of regulatory compliance under UK and EU laws and regulations. Drafting compliance manuals, compliance monitoring programmes and procedures.

Financial promotion rules and marketing- ensuring that regulated and unregulated UK and overseas entities stay within the boundaries of the various financial promotion requirements which apply in the UK, including overseas entities wishing to market to UK clients.

Cross-border issues - advising UK and overseas firms on the passporting of branches and services, conducting business through overseas tied agents and on related regulatory requirements across the EU.

Preventing financial crime - advising firms on their systems and controls for preventing money laundering, drafting anti-money laundering procedures, advising firms on preventing and dealing with insider dealing and market abuse issues, and on having appropriate controls in place.

Investment funds - we advise on the regulatory requirements in relation to all types of funds and their managers and advisers.

Client complaint handling - we also advise on dealing with internal legal and compliance incidents, client complaints and the Financial Ombudsman Service.

Corporate governance - advising on outsourcing, internal systems and controls, senior management responsibility and applications for individual approval to carry out controlled functions.

Investigations and contentious matters - we provide risk management advisory services on areas of key focus for the FSA and other European regulators. Our experience includes investigations by the UK Financial Services Authority and other regulators relating to anti-money laundering, market abuse, systems and controls, financial crime and other contraventions. In recent years, we have been actively involved in the consultation process which preceded new EU legislation and national implementation. Our lawyers have close working relationships with national regulators and provide significant support to industry and trade bodies (including APCIMS and AIMA in London and the French AFIC) and participate in a number of key working groups.
