Distribution Networks
Gide Loyrette Nouel has developed particular expertise in the creation, implementation and monitoring of various forms of integrated distribution network, such as franchise networks, selective and/or exclusive distribution networks in various sectors of the economy, including motor vehicles, perfumes, sport, health products and cosmetics, clothing, luxury goods, etc. The Firm assists clients both with the drafting of agreements and preparation of sales outlet selection criteria and with any legal disputes that may arise between the network heads and their sales outlets, in cases of non-renewal of agreements or failure to comply with network rules such as the prohibition against sales outside the network. It also specialises in drafting commercial agency agreements and handling disputes over compensation for supplying a customer base that may arise as a result of these agreements.
Unfair Competition
Unfair competition, which sets a limit to the principle of free competition, provides a means of punishing misconduct through violating legal rules but also the trade practice rules and customs. Gide Loyrette Nouel has wide experience of the various types of unfair competition disputes, especially litigation concerning the disruption of a competitor's business (poaching staff and canvassing customers), the breach of non-competition undertakings, the denigration or disparagement of competitors and taking undue advantage of the commercial endeavours or investments of a competitor.
