The Employment Law Department regularly works on complex operations, such as acquisitions, take-over bids/public exchange offers, insolvency and bankruptcy, and partial and full privatisations.
Acquisitions
The Employment Law Department is often called on to carry out due diligence audits on target companies, notably by checking that the target company complies with current employment law, determining the target company's obligations and undertakings towards its personnel and evaluating the target company's potential exposure to employment risks.
Take-over bids/Public exchange offers
The Employment Law Department assists clients during the implementation of take-over bids, public exchange offers, public offers of withdrawal and hedging operations, etc. to enable clients to reconcile compliance with employment legislation and the confidentiality required by this type of operation.
Insolvency and bankruptcy
The Employment Law Department helps potential transferees throughout the take-over: carrying out due diligence audits on the target company, ascertaining the transferee's undertakings in terms of employment, preparing the take-over bid, and, where applicable, participating in negotiations with the target company's staff representative bodies, representing the transferee before the Commercial Courts, etc.
Partial and full privatisations
The Employment Law Department draws on its expertise relating to the impact of partial and full privatisations on employment to advise clients.
