The New York Office, working in conjunction with our other 23 Gide offices worldwide, provides advice covering all aspects of US and international business, finance, and tax law, primarily in the following areas:



The New York tax team is an integral part of Gide’s International Tax Practice Group, which is comprised of nearly 60 highly skilled tax attorneys from 15 offices worldwide. The New York tax group covers all aspects of US and international tax planning, as well as tax controversy work. It advises banks, corporates, funds, and high net worth individuals on cross-border transactions globally, as well as purely domestic transactions. Our experience covers the tax aspects of structured finance, debt and equity offerings (private and public), derivatives and other financial products, securitizations, funds, corporate acquisitions and dispositions, leasing, lending, and real estate transactions.



The attorneys in the New York office are a part of Gide’s global capital markets team, which has an exceptional range of experience on cutting edge capital markets transactions across the world. Typical capital markets and structured finance transactions include debt and equity listings on major stock exchanges; US, pan-European, Asian, and simultaneous global offerings; initial public offerings; structured and non-structured convertible, exchangeable, and variable-rate debt and preferred stock offerings; derivatives; structured and non-structured US, European, and global medium term note programs and commercial paper programs; Yankee bond, Eurobond, and Samurai bond offerings; high yield bond offerings; and structured investment vehicles. In addition to New York, Gide has US-trained capital markets attorneys in London, Paris, and several other offices.



Gide has a strong reputation in both conventional and synthetic securitizations, as well as high yield tax-arbitrage financing. The attorneys in the New York office have represented issuers, sponsors, and underwriters across the range of securitizations, including securitizations of mortgage loans, mortgage certificates, credit-card receivables, student loans, auto leases and auto loans, trade receivables, future flows, small ticket leases, cash and synthetic CDOs, reinsurance securitization, securities repackaging, and loan warehousing. The New York office works closely with attorneys in other Gide offices to handle Euro CP transactions as well as transactions involving receivables in non-US jurisdictions.



The team has extensive experience on the formation, structuring, and operation of a wide range of domestic, foreign, and cross-border investment funds, from hedge funds to venture capital funds to real estate (including public and private REITs).



The New York team has advised on all types of loan facilities, from straightforward single bank transactions to complex syndicated facilities. With experience in the wide range of financing structures available in the world-wide capital markets, we advise lenders, borrowers, credit support providers, and agents on cross-border financings of all types. The breadth of our experience in representing such a wide range of participants enables us to anticipate the concerns and requirements of the participants and their counsel and to tailor structures to particular client needs.



The New York team has extensive experience in structuring and documenting the full range of OTC derivatives, including forwards, swaps (currency, asset, equity, commodity, volatility, hybrid, total return, and credit default), and options.



Gide serves the energy, infrastructure, and project finance markets in connection with financing projects in every corner of the world. Members of our team in New York have represented project developers in designing tax-advantaged ownership and financing structures for major infrastructure projects worldwide, from Mexico to Thailand. Among the lenders and credit support providers we have worked with are New York Life, Prudential, Société Générale, CSFB, and Ex-Im Bank. Projects have covered a large variety of alternative energy projects, including biomass, methane, and waste-to-energy, complex financings for coal and steel plants, and the financing of foreign ports. We partner with our clients to assist in every phase of the project, from development through financing and completion.
