Gide Loyrette Nouel (GLN) is acting as the Chinese counsel to STMicroelectronics (STM), one of the world’s leading electronics and semiconductor manufacturers, on the USD 1.27 billion acquisition of Numonyx Holding B.V. (Numonyx) by Micron Technology Inc. (Micron).
Created in 2008, Numonyx is STM’s flash memory joint venture with Intel Corporation (Intel) and Francisco Partners which combined Intel’s NOR and STM’s NOR and NAND operations. STM, Intel, Francisco Partners and Numonyx have entered into a definitive agreement with Micron in which Micron will acquire Numonyx under a share swap deal. The transaction is expected to combine the strengths of Numonyx with those of Micron and its broad portfolio of memory products for use in computers and mobile phones. The transaction is subject to regulatory review and other customary closing conditions.
