27 June 2011 - Gide Loyrette Nouel advises Sopra Group and Axway Software on the projected spin-off and separate listing of Axway Software on the stock market, followed by a share capital increase of Axway Software:

Gide Loyrette Nouel advised Sopra Group, a leader in the European consulting and IT services market, and Axway Software on the contemplated project to separate Sopra Group's historical businesses from those of Axway Software (sale of business interaction network management software) in order to create an independent group (Axway), which enabled the admission to trading of Axway Software and the subsequent launch of a share capital increase.

Sopra Group’s General Meeting of 8 June 2011 approved the exceptional distribution by Sopra Group to its shareholders of premiums and reserves in the form of EUR 3.92 in cash, together with the distribution of one Axway Software share per Sopra Group share held, i.e. approximately 74% of Axway Software's share capital, thus carrying out the contemplated separation and listing of Axway Software.

Axway Software shares were admitted to trading on the regulated market of NYSE Euronext in Paris on 14 June 2011.

On 23 June 2011, Axway Software announced the launch of a EUR 61.9 million capital increase with preferential subscription rights.
