5 February 2010 - Gide Loyrette Nouel advises SNCF on the contribution of Effia to Keolis:
Gide Loyrette Nouel has advised SNCF on the merger between Keolis and Effia, a wholly owned subsidiary of SNCF and France's third largest car park operator with 170 parks and some 60,000 parking spaces. The operation involved SNCF contributing 100% of Effia SA, which previously transferred to SNCF its railway station passenger assistance activities (Effia Services), while Keolis received the activities that are directly complementary to its own business, i.e. the concessions and parking, transport (sustainable methods, bikes, car sharing), in addition to the consultancy activities and multimodal IT systems (ticketing and passenger information) which are the key features of the transport of the future. As a result of the above transactions, SNCF increases its shareholding in Keolis from 45.7% to 56.7% while the share of capital retained by financial shareholders Axa Private Equity and the Caisse de Dépôt et Placement du Québec is reduced from 51.5% to 40.8%.
